Summary

Presented by the Business Law and Trusts & Estates Sections, featuring:

Stephen G. Bennett, Esq. – Evans Fox
Hugh Woodside, Esq. – Empire Valuation Consultants LLC

Event Description:

Transactional attorneys often prepare shareholder, operating and other buy-sell agreements to address common business partner concerns, such as death, disability and retirement. However, entities created for estate planning purposes often require agreements with differing management, valuation and payment provisions. This program will focus on planning considerations for buy-sell agreements used for estate planning purposes, including how the agreement’s terms can impact the process for valuing a business, and the importance of coordinating a business owner’s estate plan with the buy-sell agreement of a business. A business appraiser will discuss key valuation concepts and considerations, along with an attorney reviewing drafting and case law considerations.

This CLE is appropriate for experienced attorneys only as of January 2026.
